Terms of Service

Curensi is a cross-border payment platform that enables users in Nigeria to make payments to merchants who accept Alipay as a payment method. Users submit an Alipay QR code and the desired amount in Chinese Yuan (CNY). Curensi collects the equivalent amount in Nigerian Naira (NGN) from the user and disburses CNY to the merchant's Alipay account via licensed payment infrastructure.

Curensi does not operate as a bank, money deposit institution, or investment vehicle. We facilitate the transfer of funds between parties using third-party licensed payment providers. We are not responsible for the goods or services exchanged between users and merchants.

To use the Service, you must:

• Be at least 18 years of age.
• Be a resident of Nigeria or otherwise be permitted by applicable law to use the Service.
• Provide accurate and complete registration information.
• Complete identity verification (KYC) as required before initiating any transaction.
• Not be subject to any sanctions or restrictions that would prohibit the use of our Service.

To access transaction features, you must create an account and complete our Know Your Customer (KYC) verification process. This requires you to provide:

• Your full legal name, email address, and Nigerian phone number.
• Your Bank Verification Number (BVN).
• A government-issued identification document (National ID, Driver's Licence, or International Passport).
• A selfie for identity verification.

You represent that all information you provide is accurate, current, and complete. You agree to update your information promptly if it changes. We reserve the right to suspend or terminate accounts where information is found to be inaccurate or fraudulent.

KYC information is collected and processed in compliance with applicable Nigerian regulations. Your data is encrypted and shared only with our licensed payment partners as required to process your transactions.

4.1 Initiating a Payment

To initiate a payment, you must submit an Alipay QR code or payment link and specify the CNY amount you wish to send. You will be shown the equivalent NGN amount, our platform fee, and the applicable exchange rate before confirming the transaction. By confirming, you authorise Curensi to collect the total NGN amount from you and disburse the corresponding CNY to the specified Alipay recipient.

4.2 Exchange Rate

The exchange rate displayed at the time of confirmation is locked for the duration of your transaction. Curensi does not guarantee any particular exchange rate. The rate shown is the rate at which Curensi will execute the transaction and is inclusive of our margin.

4.3 Platform Fees

Curensi charges a platform fee on each transaction, displayed clearly before you confirm payment. The fee is calculated as a percentage of the source amount. The applicable fee percentage is shown on the payment review screen and may vary by corridor or transaction size. We reserve the right to update our fee structure with reasonable notice.

4.4 Transaction Limits

Minimum and maximum transaction limits apply per corridor and per user tier. These limits are displayed during the payment flow. Daily limits also apply and are determined by your KYC verification tier. We reserve the right to adjust limits at any time.

4.5 Finality

Once a transaction has been confirmed and your NGN payment has been received, it cannot be cancelled. If disbursement to the merchant's Alipay fails after your NGN has been collected, a refund will be initiated automatically (see Section 5).

If a disbursement fails after your NGN payment has been confirmed — for example, because the Alipay QR code has expired or the merchant's account cannot receive funds — Curensi will initiate an automatic refund of the NGN amount you paid (excluding any payment processing fees charged by third-party providers).

Refunds are typically processed within 24 hours and returned to the original payment source. Curensi is not responsible for any delays caused by third-party payment processors or banking institutions.

Curensi does not issue refunds for completed transactions where CNY was successfully disbursed to the specified Alipay recipient. Any dispute about goods or services must be resolved directly with the merchant.

You agree not to use the Service to:

• Conduct or facilitate money laundering, fraud, or any other illegal financial activity.
• Make payments on behalf of third parties without their knowledge and consent.
• Circumvent any applicable laws, regulations, or sanctions.
• Use the platform for gambling, adult content, or any activity that violates applicable law.
• Provide false, misleading, or fraudulent information during registration or KYC.
• Attempt to reverse-engineer, hack, or interfere with the Service or its infrastructure.
• Resell, broker, or white-label the Service without prior written agreement from Curensi.

Curensi reserves the right to immediately suspend or terminate your account and report suspicious activity to relevant authorities if we have reasonable grounds to believe you are engaging in prohibited use.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, processing, and sharing of your personal data as described in our Privacy Policy.

We collect and use your data to provide and improve the Service, comply with legal obligations, prevent fraud, and communicate with you about your account and transactions. We do not sell your personal data to third parties.

All content, features, and functionality of the Service — including but not limited to text, graphics, logos, icons, and software — are the exclusive property of Curensi and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for personal, non-commercial purposes in accordance with these Terms.

The Service is provided on an “as is” and “as available” basis without warranties of any kind, express or implied. Curensi does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or timeliness of any exchange rates, transaction status information, or other content displayed on the platform.

To the maximum extent permitted by applicable law, Curensi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service, including but not limited to loss of profits, loss of data, or loss of business opportunity.

Our total liability to you for any claim arising out of or related to these Terms or your use of the Service shall not exceed the total fees paid by you to Curensi in the three (3) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Curensi and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, applicable law, or if we are required to do so by a regulatory authority. You may also close your account at any time by contacting us, provided there are no pending transactions.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall continue to apply.

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you via email or in-app notification. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service.

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Nigeria.
